Terms of Service

These Terms of Service ("Terms") govern your access to and use of ctxstore.ai (the "Service"), operated by PAAMT LLC ("Company", "we", "us"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

ctxstore.ai is a persistent AI memory platform that allows AI agents and users to store, search, and retrieve facts and contextual memories across sessions and models. The Service provides MCP-compatible endpoints and a REST API for integration with AI development tools.

2. Account Terms

• You are responsible for all activity that occurs under your account.
• You must provide accurate information when registering or linking an account.
• You are responsible for maintaining the security of your API keys. Do not share API keys publicly.
• You must notify us immediately of any unauthorized use of your account at info@ctxstore.ai.
• One person or entity may not maintain more than one free account for the purpose of circumventing usage limits.

3. Payment Terms

• Paid plans are billed in advance on a monthly or annual basis via Stripe.
• Subscriptions auto-renew unless cancelled before the renewal date.
• All prices are in USD. We reserve the right to change pricing with 30 days' notice.
• Refunds are available within 7 days of initial purchase. Contact info@ctxstore.ai.
• Tranche (one-time) purchases are non-refundable once the storage is allocated.
• Cancellation takes effect at the end of the current billing period. You retain access until then.

4. Acceptable Use

You agree not to use the Service to:

• Store, transmit, or process illegal content of any kind
• Violate any applicable law or regulation
• Abuse, harass, threaten, or harm others
• Attempt to circumvent usage limits, access controls, or tenant isolation
• Probe, scan, or test the vulnerability of the Service without prior written consent
• Use automated scripts to bulk-provision free accounts (session farming)
• Resell or sublicense the Service without explicit written permission

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Data Ownership

You own your data. The facts, contexts, and memories you store through the Service remain your property. We do not claim any ownership rights over your content. By using the Service, you grant us a limited license to store, process, and retrieve your content solely for the purpose of providing the Service to you.

We do not use your stored content to train AI models or for any purpose other than operating the Service.

6. Service Availability

• We provide the Service on a best-effort basis. We do not guarantee 100% uptime.
• Free tier accounts do not receive any uptime Service Level Agreement (SLA).
• We will make reasonable efforts to notify users of planned maintenance.
• We are not liable for losses caused by service unavailability.

7. Intellectual Property

The Service, including its software, design, and documentation, is the property of PAAMT LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service except as permitted by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAAMT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Termination

• You may cancel your account at any time by contacting info@ctxstore.ai.
• Upon cancellation, your data will be retained for 30 days, then permanently deleted.
• We may suspend or terminate your account for violation of these Terms, with or without notice.
• Upon termination by us for cause, no refund will be issued for the remaining subscription period.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of South Dakota, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Mitchell, South Dakota, and you consent to personal jurisdiction in those courts.

12. Changes to Terms

We may update these Terms at any time. We will notify users of material changes via email (if provided) or by posting a notice on the website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
